License / EULA (Digital Products)
Effective date: August 13, 2025
This End User License Agreement (“EULA”) governs your use of NDS digital products (the “Toolkit”).
1) Grant of License
Subject to payment and compliance with this EULA, NDS grants you a non-exclusive, non-transferable, non-sublicensable license to use the Toolkit for one practice/location for your internal business purposes.
2) Seats & Locations
Unless otherwise stated, one license=one location. If you operate multiple locations or entities, you must purchase additional licenses.
3) Permitted Uses
Modify templates for your internal use
Print copies for internal staff
Store reasonable backups
4) Restrictions
You may not:
(a) share, distribute, resell, or sublicense the Toolkit to third parties;
(b) publish the Toolkit publicly (including on public repositories);
(c) use the Toolkit to create a competing product;
(d) remove proprietary notices;
(e) use the Toolkit to train machine learning models without our written consent;
(f) exceed the licensed locations.
5) Ownership
The Toolkit is licensed—not sold. NDS retains all rights, title, and interest in and to the Toolkit and all derivatives, except your practice-specific customizations.
6) Updates
We may provide updates at our discretion. Updates are covered by this EULA unless we state otherwise.
7) Term & Termination
This EULA continues until terminated. It terminates automatically if you breach it. Upon termination, you must cease use and delete copies (except as required by law).
8) Warranty Disclaimer
The Toolkit is provided “as is.” NDS disclaims all warranties to the fullest extent permitted by law.
9) Limitation of Liability
NDS’s total liability under this EULA will not exceed the price paid for the Toolkit giving rise to the claim.
